General Terms of Contract

The present General Contract Terms (hereinafter: GTC) includes the rights and responsibilities of Koko Flex Trading Limited (official residence: 94 Vaci t, Budapest, 1133, Hungary; Trade Registration Number: 01-09-698687; Tax ID: 12690471-2-41; Official Representative: Laszlo Turi - Executive Director; hereinafter: Service Provider) and the Costumer using the electronic trade services provided by Koko Flex Ltd. (hereinafter: Costumer). (The Service Provider and the Costumer hereinafter: Parties.)

1. General Information - Agreement between the Parties

1.1. The present GTC is effective of all electronic trading services provided by and made through the electronic market (hereinafter: Mattress Center Webshop) of the www.matrac-center.hu website (hereinafter: Website).

1.2. The purchase is made possible by an electronic order at the Mattress Center Webshop in a way given in the present GTC.

1.3. The services of Mattress Center Web shop might be used by all legal entities that resell the products listed on the Website and all other organizations provided their valid and successful registration on the Website and acceptance of present GTC.

1.4. The contract between the Parties comes into existence by filling out and checking the information provided of all required fields of the order form and clicking on the icon "Add to basket". This way of ordering is considered equal with a written agreement - it will be registered and kept on file for 3 months by the Service Provider.

2. Registration

2.1. Registration might be done by using the order form on the Main Page under Registration.

2.2. The Service Provider is not responsible for any delay on delivery or any other problems caused by false and/or unpunctual information given on the order form by the Costumer. The Service Provider is not responsible for any matters caused by a forgotten password or by being used by unauthorized entities in case if it is out of the control of the Service Provider.

3. Ordering

3.1. The significant characteristics and qualities of the purchased merchandise and the instructions regarding the usage of them can be known in details from the information page of the given product and its enclosed users' manual as well.

3.2. The purchase-price is always the given price next to the merchandise: net price + value added tax (VAT). Delivery cost is not included in the purchase-price. Costumers are entitled to their special discount on stock or brand when ordering by internet. The stock or brand discount price appears in the column of "Your price".

3.3. The Service Provider has the right of changing the prices of the merchandises which will come into effect at the time of appearance on the website. The modification does not apply for orders made before the price change. It might occur that -even though the Service Provider tries to avoid this kind of mistakes - an obviously wrong price is indicated which is significantly different of the merchandise's generally accepted or estimated price or because of a system error the price might show "0" HUF or "1" HUF. In this case the Service Provider is not obligated to deliver the merchandise at the wrong price but can offer it with the correct price - in this case the Costumer can cancel the order.

3.4. The Service Provider accepts orders only from registered costumers and if all required fields are filled out. (The Costumer receives an error message in case there are some wrong or missing information.) The Service Provider is not responsible for any delay on delivery or any other problems caused by false and/or unpunctual information given on the order form by the Costumer.

3.5. With a sent order the Costumer declares the acceptance the present General Terms of Contract and acknowledges its obligations.

3.6. The Service Provider must send a confirmation of the order to the Costumer by e-mail. In case the confirmation is not received within 48 hours of placing the order the Service Provider's being bound and the Costumer's obligation to purchase with no further conditions are automatically terminated.

4. Delivery and payment conditions

4.1. The Service Provider delivers the chosen and ordered merchandise on the Website in the given time sent by the order confirmation by e-mail to the Costumer to the address given by the Costumer. The ordered merchandise can also be personally picked up at the domicile of the Service Provider (94 Vaci ut, ground floor, no. 6, Budapest, 1133) provided the Costumer's notification in advance.

4.2. The Service Provider delivers the merchandise by an earlier agreement on a certain day from 8 am to 8 pm on workdays with its own vehicle of transport or using other transporter. The Service Provider is unable to complete the delivery at an exact time (hour).

4.3. The services ordered on the Website will be performed at the place given in the order confirmation sent to the Costumer.

4.4. In case of new Costumers the Service Provider requires cash payment on delivery than after the business relationship will be escalated the Costumer might ask for payment by bank transfer to a certain amount of credit. In case the Costumer has an unpaid account the Service Provider will serve the Costumer only by cash on delivery until the account is settled.

4.5. The Costumer is obligated to check every ordered item of the received package and in case of completeness sign the proof of receipt. After this point the Service Provider is unable to accept any complaint regarding missing items. Only a security sealed shipment by the Service Provider (Koko Flex) is considered original, undamaged, unopened. In case the Costumer would experience any kind of damage or discrepancy the transporter is obligated on the demand of the Costumer to write a report on the spot and handle the merchandise item by item. The transporter is responsible for the caused damages in this case.

4.6. The Service Provider guarantees the possibility of taking back the merchandise from the reseller Costumers in any case of being unable to sell it. This possibility applies only to marketable merchandise so specially (but not exclusively) do not apply to those cases when production has been discontinued or its packing has been changed; or if the merchandise was imported by the Service Provider for a concrete order; or if the packing is damaged; or if the packing unit is not the same as it is supplied by the Service Provider; or if its not derived from the Service Provider, etc. The Service Provider considers the claim within 5 (five) business days; the amount of the redemption is 90 (ninety) % of the original purchase price.

4.7. The cost of delivery is HUF 6,500 in Budapest, HUF 8,500 in Budapest's inner commuter belt, HUF 10,000 in Budapest's outer commuter belt. All other deliveries are subject to individual conciliation which is done by our colleagues after placing the order.

4.8. 5. Guarantee, warrant

5.1. Regarding guarantee and warrant the Civil Law of 1959/IV applies and the government act of 151/2003 (Sept. 22) regarding the long lasting consumer's goods.

6. Miscellaneous

6.1. The Costumer is expected to accept the Internet's possible technical errors and knowledge of its technological limits.

6.2. The Service Provider is not responsible for any damage caused by the connection to the Website. The Costumer is responsible for his or her computer and the safety of data stored there.

6.3. The Service Provider keeps any date provided by the Costumer for special purposes, exclusively in order to accomplish the contract and prove the terms of the contract in the future. The Service Provider would not give out date of the Costumers to a third party except the third party is the subcontractor/collaborator of the Service Provider. The Service Provider considers the law of 1992/LXIII regarding protection of personal data and public access to data of public interest.

6.4. The Service Provider has the right to modify the conditions of GTS at any time. The incidental modification is taking effect at the time of appearance on the Website.

6.5. In case of any dispute the Parties are making effort to find a solution by negotiation. If this would not lead to any agreement the Parties - depending on the value - would accept the competence of the Central Court of Pest or to the Court of Budapest.
